TERMS OF SERVICE

Welcome to Syticks! These Terms of Service ("Terms") govern your access to and use of our digital ticketing platform, website, mobile applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. DEFINITIONS

- "Syticks," "we," "us," or "our" refers to Syticks Company Ltd, a Nigerian-based technology company providing digital ticketing solutions.

- "User," "you," or "your" refers to any individual or entity that accesses or uses our Services, including ticket buyers, event organizers, transport providers, cinemas, and commercial institutions.

- "Corporate End Users" refers to businesses or organizations that use our Services to distribute, sell, or validate tickets.

- "Collaborators" refers to third parties, including fintechs and commercial banks, that integrate with our Services.

- "Ticket(s)" refers to digital or electronic tickets purchased, sold, or distributed through our platform.

2. SERVICES PROVIDED

  • Create, distribute, and sell digital tickets.
  • Validate and authenticate tickets at entry points.
  • Process ticket payments through integrated third-party payment gateways.

Syticks is an intermediary platform and does not operate, manage, or assume responsibility for events, transport services, or any activities associated with ticket usage.

3. USER ACCOUNTS & ELIGIBILITY

  • To use certain features, you must create an account. You agree to provide accurate, complete, and up-to-date information.
  • You are responsible for maintaining the confidentiality of your account and password.
  • You must be at least 18 years old or the legal age of majority in your jurisdiction.

4. PAYMENT TERMS & FEES

  • Pricing & Fees: The cost of tickets and any applicable service fees will be displayed at checkout. Syticks may charge a service fee for ticket sales and transactions.
  • Third-Party Payments: Payments are processed via third-party payment providers. Syticks does not store or process payment details directly.
  • Refunds & Chargebacks: Refund policies are determined by Corporate End Users (event organizers, transport providers, etc.). Syticks is not responsible for issuing refunds unless explicitly stated.

5. RESPONSIBILITIES OF USERS

A. Event Organizers & Corporate End Users

  • Must ensure that events, transport services, or ticketed activities comply with all applicable laws and regulations.
  • Are solely responsible for the delivery, quality, and safety of the services associated with the ticket.
  • Must handle all customer disputes, cancellations, and refunds related to their events.

B. Ticket Buyers

  • Are responsible for ensuring the accuracy of their purchase details before completing a transaction.
  • Must comply with any event or service-specific rules set by the organizer or provider.
  • Understand that Syticks is not liable for event cancellations, rescheduling, or service disruptions.

6. ACCEPTABLE USE POLICY

  • Use Syticks’ Services for fraudulent, illegal, or unauthorized transactions, INCLUDING Money Laundering and, or, Sponsorship of Terrorism.
  • Sell, resell, or exploit the platform for commercial purposes without authorization.
  • Interfere with the security, integrity, or performance of our platform.

We reserve the right to suspend or terminate accounts violating these terms.

7. LIMITATION OF LIABILITY

  • No Endorsement: Syticks does not guarantee the quality, legality, or safety of events, transport services, or any ticketed activity.
  • No Liability for Losses: To the maximum extent permitted by law, Syticks shall not be liable for:
    • Losses due to event cancellations, service failures, or ticket fraud.
    • Indirect, incidental, or consequential damages arising from your use of our Services.
    • Any damages exceeding the total amount of fees paid by you to Syticks in the past six (6) months.

8. INTELLECTUAL PROPERTY RIGHTS

All trademarks, logos, and content related to Syticks’ Services are owned by or licensed to Syticks. Users may not copy, modify, distribute, or commercially exploit our intellectual property without prior written consent.

9. TERMINATION

We may terminate or suspend your access to our Services without prior notice if you violate these Terms or engage in fraudulent, illegal, or harmful activities.

10. PRIVACY & DATA PROTECTION

Syticks processes personal data in accordance with its Privacy Policy. (Insert link here) By using our Services, you consent to the collection and processing of your data as outlined in our Privacy Policy.

11. FORCE MAJEURE

Syticks shall not be held liable for delays or failures in performance due to causes beyond our control, including but not limited to natural disasters, government actions, cyberattacks, or technical failures.

12. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall first be resolved through good-faith negotiations. If unresolved, disputes shall be settled by Arbitration in Lagos, Nigeria.
